What Happened

Jeremy Smith and Health Connect Life Sciences built Atreon Orthopedics' top-performing distribution territory in the country — only to be systematically defrauded, manipulated, and pushed out when Atreon decided it wanted Smith's clients for itself.

2020–2024
A Proven Partnership
Jeremy Smith and Health Connect began distributing Atreon's musculoskeletal and soft tissue products in 2020 — without so much as a signed agreement — growing the territory into Atreon's top-ranked distributorship in the country. Smith also invested $250,000 in Atreon through three subscription agreements.
January 1, 2025
A Contract Built on False Pretenses
Defendant Ronald Bracken induced Smith to sign an "Amended and Restated Distribution Agreement" — falsely claiming it was simply updating a prior written agreement (which had never existed). The new contract secretly imposed higher prices, broad termination rights, and a non-compete clause. Bracken told Smith it was merely for optics with investors and would change nothing in practice.
June–July 2025
The Trap Snaps Shut
Bracken pressured Smith to settle a dispute with a co-distributor, financially weakening him. Ten days after the settlement was signed, Atreon issued a for-cause termination letter — alleging Smith had failed to expand sales and submit a business plan, despite Smith having done both. Atreon did not follow its own contractual termination procedures.
July 11, 2025
Bracken Admits the "Trump Move"
At a Nashville trade show, Bracken acknowledged the termination was a negotiating tactic — a "Trump Move" — to extract better terms from Smith. He promised in writing to withdraw it and negotiate a new agreement. Those promises, like all the others, were broken.
August 2025
Broken Promises & Refused Orders
Despite written assurances from Atreon's counsel that orders would be filled, Atreon refused Smith's order for 600 units of Rotium, issued a second baseless termination letter, and flatly refused Health Connect's offer to prepay in full. Smith had no choice but to sue.

Complaint Filed in Fulton County Superior Court
Guilmette Henderson filed suit on behalf of Health Connect Life Sciences and Jeremy Smith, asserting eight counts against Atreon, Nanofiber Solutions, Renovoderm, and Ronald Bracken.

Claims Asserted

The complaint asserts eight counts arising from Atreon's pattern of fraud, bad faith dealing, and coordinated wrongdoing.

Fraud
Bracken and Atreon made repeated false representations to induce Smith to sign the Distribution Agreement and Settlement Agreement, and to prevent him from filing suit sooner.
Breach of Contract
Atreon improperly terminated the Distribution Agreement without following required contractual notice and cure procedures, and refused to fulfill confirmed product orders.
Breach of Fiduciary Duty
Bracken, as an officer and controlling party, breached duties owed to Smith as a $250,000 equity investor in Atreon by concealing material litigation and misusing his position.
Tortious Interference
Defendants interfered with Health Connect's established business relationships and contracts with medical providers and customers.
Defamation
Atreon made false statements to Smith's customers and surgical clients, damaging his professional reputation in the medical device marketplace.
Promissory Estoppel
Smith relied to his detriment on Bracken's repeated promises — including the promise to withdraw the termination — which Atreon then refused to honor.
Unjust Enrichment
Atreon retained the benefits of Smith's years of distribution work and territory development without providing agreed compensation.
Civil Conspiracy
Atreon, Nanofiber Solutions, Renovoderm, and Ronald Bracken engaged in a coordinated scheme to strip Smith of his distribution rights and seize his client relationships.
